Between April 30, 2024 and January 13, 2026, Trip.com Group told investors its strategic investments and business expansion faced regulatory and anti-monopoly risks that might affect results. Executives emphasized that the company intended to comply with anti-monopoly laws and framed any penalties or restrictive measures as uncertain future possibilities.

However, during this period, investors allege Trip.com Group was already facing much more serious antitrust exposure in China because of its alleged monopolistic business activities and market position. Trip.com Group allegedly failed to disclose that it had materially greater antitrust risk in China than investors were told; that Chinese regulators were actively increasing scrutiny of conduct like Trip.com Group’s; and that its risk warnings understated an existing enforcement threat rather than a remote possibility.
