Between November 10, 2023 and February 27, 2025, DoubleVerify told investors it was well-positioned to grow as advertisers spent more on digital ads. The company emphasized high-margin Activation Services, promoted new AI features, and reassured investors that its tools helped brands avoid fraud and poor placements.
But internally, DoubleVerify’s verification technology was struggling to filter out a growing wave of AI-driven bot traffic, which made its ad data unreliable—especially on open exchanges. Meanwhile, advertisers were shifting spending to “walled gardens” like Meta, TikTok, and Amazon, where DoubleVerify had limited reach and faced steep technical and cost hurdles. These issues made it harder for DoubleVerify to deliver on its growth promises.
On February 28, 2024, the company cut its Q1 outlook, citing a “slow start” and delays with new clients. $DV dropped 21.3%. Then, on May 7, 2024, it lowered full-year guidance, causing a 38.6% drop as investors reacted to broader customer pullbacks.
The company continued to reassure investors, but on February 27, 2025, it disclosed that a major client had suspended services, and ad dollars were shifting away from the platforms DoubleVerify depended on. $DV fell 36% that day. One month later, Adalytics and the Wall Street Journal revealed that DoubleVerify had been billing customers for bot traffic from known data centers, undermining its core fraud protection claims.
From February 2024 to February 2025, $DV lost over 66% of its value.
Based on these events, $DV investors filed a claim against DoubleVerify Holdings, accusing the company of the following:
- It misled investors about their ability to detect fake traffic and deliver reliable ad verification.
- It concealed business risks tied to platform shifts and technology limitations in their core services.
Considering all the representations, investors believe DoubleVerify overstated its capabilities and delayed disclosing critical weaknesses that were already impacting its business.
