Throughout 2023 and early 2024, Varonis—a data security and analytics company—touted strong customer demand and emphasized the success of its shift toward a subscription-only licensing model. Executives told investors the transition was complete and that the company had clear visibility into the pipeline and sales momentum heading into Q4 2023.

However, the company was allegedly facing material challenges, including longer-than-expected sales cycles, weaker enterprise demand, and internal execution missteps. Despite this, Varonis reaffirmed guidance and claimed it was on track to meet revenue and margin targets.

On February 6, 2024, Varonis reported Q4 revenue of $163 million, falling short of expectations. The company also issued 2024 guidance that was well below consensus, citing delayed deal closings and macro-related pressure. Management revealed that many deals had slipped out of Q4 and acknowledged that the company had overestimated its near-term sales visibility.
