Case Details:

UP Fintech Holding Limited operates an online brokerage and financial technology platform that provides investors with access to securities trading across international markets. The Company, also known through its Tiger Brokers platform, offers cross-market investment services, including securities, funds, and other financial products. Its American Depositary Shares trade on Nasdaq under the ticker $TIGR.

UP Fintech represented that it was working to comply with Chinese securities regulations and had implemented measures to address previous regulatory concerns. The Company acknowledged that the China Securities Regulatory Commission (CSRC) had previously identified unauthorized cross-border brokerage activities but maintained that it was cooperating with regulators and taking appropriate corrective actions.

On April 22, 2024, UP Fintech filed its 2023 Annual Report, disclosing that the CSRC had issued a notice in December 2022 identifying unauthorized cross-border securities operations involving mainland Chinese investors. The notice required UP Fintech to stop soliciting new mainland Chinese customers and opening new securities accounts, while restricting additional deposits into certain existing accounts. UP Fintech stated that it had implemented corrective measures, including removing its Tiger International application from Chinese app marketplaces in May 2023, and was continuing to cooperate with regulatory authorities.

On April 23, 2025, and April 24, 2026, UP Fintech reiterated substantially similar disclosures in its subsequent Annual Reports. According to the lawsuit, these statements were misleading because the Company allegedly continued conducting unauthorized securities-related activities in China despite previously receiving regulatory warnings and claiming to have implemented corrective measures.

On May 22, 2026, Reuters reported that Chinese authorities had launched a major crackdown on unauthorized cross-border securities businesses, targeting online brokers including Tiger Brokers, Futu, and Longbridge. The CSRC announced that certain UP Fintech subsidiaries had engaged in unlicensed securities, fund, and futures activities in mainland China.

Regulators imposed approximately RMB308.1 million in administrative penalties and ordered the confiscation of RMB103.1 million in illegal income. CEO Tianhua Wu also received a warning and an additional RMB1.25 million penalty.

Following these revelations, UP Fintech ADSs declined 25.3%, falling $1.48 to close at $4.36 on May 22, 2026.

On June 2, 2026, UP Fintech reported its first-quarter 2026 financial results, including revenue of $154.9 million, representing 26.3% year-over-year growth, but a net loss attributable to the Company of $26.9 million, compared with net income of $30.4 million in the prior-year period.

Management acknowledged the regulatory penalties, totaling approximately $59.7 million, but stated that the expense would not materially affect the Company's operations or long-term development. Following the announcement, $TIGR declined 3.86% on June 2 and an additional 6% on June 3.

Based on these events, $TIGR investors filed a claim against UP Fintech, alleging the Company:

  • Misled investors about its compliance with Chinese securities regulations and the effectiveness of corrective measures implemented following previous regulatory warnings.

  • Failed to adequately disclose the extent of its ongoing unlicensed cross-border securities, fund, and futures business activities.

  • Issued materially false and misleading statements regarding its business operations, regulatory compliance, and financial prospects.

  • Failed to adequately communicate the potential financial consequences of continued regulatory violations, including substantial fines and confiscation of illegal proceeds.

Investors argue that had the true extent of UP Fintech's unauthorized brokerage activities, ongoing regulatory violations, and exposure to significant Chinese regulatory penalties been disclosed, its securities would not have traded at artificially inflated prices.
