  • $ILLR investors filed a claim against Triller Group Inc., its former Chairman, its CEO, and its Acting CFO for touting the benefits of the Merger and the Company’s control over Bare Knuckle Fighting Championship (BKFC), while failing to disclose that Triller’s control over BKFC was tenuous or non-existent, that accounting issues would prevent timely SEC filings, and that Triller faced an increased risk of Nasdaq delisting.

  • After Triller announced that Nasdaq had suspended trading in its stock and delisted it, the stock fell 91.35% over two sessions, from $3.70 to $0.32 per share, closing at that price on December 31, 2025. Earlier disclosures had already caused drops of 17.95% on April 1, 2025, 19.74% on May 27, 2025, and 14.7% on November 24, 2025.

  • $ILLR investors can join this case to be notified about potential recovery.

Case Details:

Triller Group, formerly AGBA Group Holding Limited, completed a merger with Triller Corp. on October 15, 2024. It began trading on Nasdaq the next day. The Company touted the assets it acquired, including BKFC, which it called “the fastest-growing combat league in the industry.”

Unbeknownst to investors, Triller’s control over and consolidation of BKFC was tenuous, overstated, or non-existent, and its disclosure controls were deficient.

On March 31, 2025, Triller filed a Form NT 10-K saying it could not timely file its 2024 annual report. A series of Nasdaq delinquency and delisting notices followed on April 23, May 23, August 22, October 20, and November 21, 2025.

On December 30, 2025, Triller announced that Nasdaq had suspended trading and delisted its securities. Trading was suspended from December 30, 2025 until April 15, 2026.

On January 26, 2026, Triller disclosed that BKFC should have been deconsolidated from the acquisition date. It filed its delinquent reports that day, disclosing a material weakness in its consolidation accounting.

Based on these events, $ILLR investors filed a claim against Triller Group, alleging the Company:

  • Failed to disclose that its control over and consolidation of BKFC was tenuous, overstated, or non-existent

  • Failed to disclose that it could not timely file periodic reports because of related accounting issues

  • Failed to disclose that it was at increased risk of Nasdaq delisting and overstated its ability to cure its non-compliance

  • Maintained deficient disclosure controls and overstated the benefits of the Merger

Investors argue that had the truth about Triller’s control over BKFC and its financial reporting problems been disclosed, Triller’s stock would not have traded at artificially inflated prices during the Class Period.
