Attorneys review the case details to decide whether to proceed with a class action.
S.D. New York
Court1:26-cv-06491
Case number05/07/2026
Class period Start07/08/2026
Class period End09/28/2026
Lead Plaintiff motion deadline- $RXT stockholders filed a claim against Rackspace Technology for touting its AMD enterprise AI partnership and reaffirming full-year guidance while concealing that its AI pivot required diverting capacity and capital away from its profitable Private Cloud segment and that Public Cloud revenue was declining as customers moved to direct hyperscaler contracts.
- After Rackspace cut its full-year 2026 revenue guidance by $150 million and its Private Cloud outlook by $25 million, $RXT fell 33.6% on July 9, 2026.
- $RXT investors can join this case to be notified about potential recovery.
Case Details:
Between May 7, 2026 and July 8, 2026, Rackspace touted its memorandum of understanding, and later definitive agreement, with AMD to build a "governed enterprise AI" infrastructure business. On the same day the MOU was announced, CEO Gajen Kandiah told investors the AMD partnership gave the Company "confidence in the full year Private Cloud growth profile," and the Company reaffirmed full-year Public Cloud revenue guidance of $1.575–$1.625 billion. CFO Mark Marino reaffirmed full-year 2026 guidance "in its entirety" on that same earnings call. Rackspace continued to describe its private cloud business as a source of strength through mid-June 2026, even as it announced a workforce reduction of approximately 15% tied to its AI transformation.
However, investors allege Rackspace's enterprise AI push would require the Company to significantly re-prioritize capacity and capital away from its more profitable Private Cloud segment, and that its Public Cloud revenue was already declining as customers shifted to contracting directly with hyperscale cloud platforms, putting the Company's full-year revenue guidance at risk.
Then, on July 9, 2026, Rackspace disclosed a "strategic and financial update" alongside second-quarter results, cutting its full-year 2026 revenue guidance by $150 million and its Private Cloud revenue outlook by $25 million, citing a reprioritization of resources toward AI and an exit from low-margin Public Cloud infrastructure resale business.
$RXT fell 33.6%, closing at $4.37 per share, down from a Class Period high of $7.53 reached on June 17, 2026.
Based on these events, $RXT investors filed a claim against Rackspace Technology, alleging the company:
- It overstated the strength and stability of its Private Cloud growth outlook.
- It hid that its enterprise AI buildout would require diverting resources away from its profitable Private Cloud segment.
- It concealed that Public Cloud revenue was already eroding as customers moved to direct hyperscaler contracts.
Investors argue Rackspace Technology misled the market about its AI transition and Private Cloud outlook, causing losses when the truth emerged.
