Case Details:

Between November 6, 2025, and May 6, 2026, Planet Fitness told investors its marketing campaign was resonating with consumers and driving membership joins. Executives emphasized strong brand health, rising Black Card adoption, a planned $29.99 Black Card price, and a three-year growth plan supported by membership and pricing gains.

However, during this period, investors allege the marketing campaign was intimidating fitness beginners and casual gym-goers, the company’s core audience. Planet Fitness allegedly failed to disclose that its messaging was attracting more experienced gym users while weakening its appeal among beginners. Net membership joins were falling short during the peak sign-up period, and slower joins threatened its pricing plan, 2026 guidance, and long-term targets.

Then, on May 7, 2026, the company revealed slower-than-expected membership growth, paused the Black Card price increase, and cut same-club sales guidance to approximately 1% from 4%–5%. $PLNT fell 31.2%, closing at $44.01.

Additional revelations included reduced revenue and earnings forecasts and withdrawal of the three-year growth outlook.

By May 7, shares had dropped to $44.01, representing a total decline of 31.2% over the correction period.

Based on these events, $PLNT investors filed a claim against Planet Fitness, alleging the company:
  • It overstated the success of its marketing strategy.
  • It hid slowing membership growth and reduced appeal among beginner gym-goers.
  • It caused investor losses when guidance was cut and the pricing plan was paused.
Investors argue Planet Fitness misled the market about customer acquisition, pricing, and growth prospects, causing losses when the truth emerged.
