Case Details:
Between January 29, 2026 and June 4, 2026, PicS told investors its credit business was supported by strict underwriting criteria, proprietary credit data, and improved credit models. The company emphasized strong loan adoption, customized credit models, and a Stage 3 formation rate of 3.6% as of September 30, 2025.
However, during this period, investors allege PicS had already reviewed its credit procedures in December 2025 and found them deficient. PicS allegedly failed to disclose that it had reclassified about R$590 million of loans from Stage 2 to Stage 3 before the IPO. The reclassification caused an additional R$88 million expected credit loss charge, and its fourth-quarter Stage 3 formation rate had risen above 7%, showing worse credit trends than investors were told.
Then, on March 19, 2026, the company revealed the R$590 million reclassification and the related R$88 million increase in expected credit losses. Additional revelations followed on June 2, 2026, including that Stage 3 loans had increased to 13% of the credit portfolio.
By June 4, 2026, shares had dropped below $9, representing a total decline of more than 50% from the $19 IPO price.
Based on these events, $PICS investors filed a claim against PicS, alleging the company:
