Between December 10, 2025, and May 27, 2026, Photronics told investors that demand for its high-end integrated-circuit photomasks was strong and expected to continue. Executives emphasized robust global orders, record high-end revenue, limited competition, capacity expansion, and expectations for stable or improving margins.

However, during this period, investors alleged that customer design releases were slowing and the expected recovery after the Chinese New Year had stalled. Photronics allegedly failed to disclose that customer foundries lacked capacity for additional design releases, memory shortages, rising equipment costs, and geopolitical uncertainty were delaying new product launches, and these delays threatened revenue growth, product mix, and margins.
