Case Details:

Between April 12, 2022, and May 30, 2025, Genius Group traded publicly on the NYSE under the ticker GNS. Investors allege Citadel Securities and Virtu Americas were major traders in Genius Group shares and were responsible for large amounts of off-exchange trading while acting as broker-dealers and market makers.

However, during this period, investors allege Citadel Securities and Virtu Americas repeatedly placed orders they did not intend to complete, then quickly canceled them to create false signals about supply, demand, and volatility. The companies allegedly failed to disclose their trading, which allegedly distorted the market for Genius Group shares. Their alleged order activity pushed investors to sell at unfairly low prices, and their alleged conduct increased trading costs by widening the bid-ask spread.

Then, during the week of February 27, 2023, investors allege Virtu Americas built a large short position before a surge in spoofing activity and a 53% weekly decline in $GNS.

Additional alleged episodes followed during the weeks of February 10, 2025, and March 31, 2025, when Citadel Securities and Virtu Americas allegedly built short positions before heavy spoofing and sharp stock declines of 22% and more than 15%.
