Firefly went public on August 7, 2025, raising over $868 million by selling nearly 19.3 million shares at $45 each. In its Registration Statement and Prospectus, Firefly described the Alpha rocket as “orbit-ready,” “flight-proven,” and part of a “reliable launch” platform. The company also emphasized robust growth prospects and strong customer demand for its launch and lunar mission services.
According to the complaint, however, Firefly omitted critical information: four out of six Alpha launches had already failed—including a major April 2025 failure that triggered an FAA investigation and grounding. The company allegedly failed to disclose this operational risk and FAA restriction. Firefly also touted demand for its Spacecraft Solutions segment, while revenue from that business declined 49% year-over-year in Q2.
On September 22, 2025, Firefly reported a net loss of $80.3 million, below expectations, and revealed weak segment revenues. Then on September 29, Firefly disclosed the loss of another Alpha rocket stage during Flight 7 testing. In response, $FLY fell 35% in a week, closing at $29.30 on September 30.
Based on these events, $FLY investors filed a claim against Firefly, alleging the company:
