Between July 23, 2025, and October 29, 2025, Fiserv communicated confidence in its product roadmap and reaffirmed guidance, stating that its updated financial targets reflected timing-related delays—not quality concerns. The company told investors it had reviewed and “re-underwritten” its initiatives and product launches, suggesting the fundamentals remained strong. On July 23, 2025, Fiserv revised its full-year organic revenue growth guidance to 10%, lowered from the original 10%–12% range, and raised the lower end of its EPS guidance.

However, according to the complaint, this messaging was incomplete. Internally, Fiserv had not conducted a comprehensive review at the time of its July communications. That broader analysis reportedly took place in Q3 2025 and revealed that the company’s performance outlook relied heavily on short-term initiatives, deferred investments, and assumptions about business volume growth and productivity that were difficult to achieve. In October 2025, the company announced that it had deprioritized these short-term initiatives in favor of long-term strategic relationships and recurring revenue.

On October 29, 2025, Fiserv reported Q3 earnings per share well below consensus estimates and revenues of $4.9 billion compared to expectations of $5.36 billion. The company also revised full-year organic revenue growth to 3.5%–4% and EPS to $8.50–$8.60, down from the previously communicated range. These disclosures prompted a 44% drop in $FI.
