Case Details:
On March 3, 2025, before the market opened, enCore Energy ($EU) announced its fiscal 2024 financial results, revealing massive losses and serious financial reporting issues.
The company reported a $61.3 million net loss for 2024, more than double the previous year’s $25.6 million loss. enCore attributed a portion of the losses to its inability to capitalize certain exploratory and development costs under U.S. GAAP, which had been allowed under its previous accounting system, IFRS.
Additionally, enCore disclosed that it had identified a “material weakness” in its internal controls over financial reporting, admitting that its risk assessment, communication, and monitoring processes were ineffective. The company stated that it had begun implementing corrective measures but had not yet fully remediated these deficiencies.
At the same time, enCore announced an abrupt leadership change, revealing that CEO Paul Goranson was stepping down immediately and being replaced by Chief Legal Officer Robert Willette as acting CEO.
Folowing this, $EU stock plummeted 46.4%.
Based on these events, $EU investors filed a lawsuit against enCore Energy, claiming the company:
- It failed to disclose significant weaknesses in its financial controls and accounting practices.
- It misled investors about its ability to capitalize development costs under U.S. GAAP.
Investors believe enCore Energy concealed critical financial risk.s
