Case Details:
Between September 4, 2024 and August 18, 2026, Datavault AI told investors its technology and partnerships could drive substantial commercialization and revenue growth. Executives emphasized the Datavault Platform’s monetization potential, partnerships with Burke Products, Scilex, and Nature’s Miracle, a strong balance sheet, and a $200 million 2026 revenue target.
However, during this period, investors allege Datavault AI overstated its partnerships and platform activity and misrepresented its financial position. Datavault AI allegedly failed to disclose Its partnerships had less economic value than represented trading activity. On the Datavault Platform was minimal and its working capital and liquidity position did not eliminate substantial doubt about its ability to continue operating.
Then, on October 31, 2025, a research report challenged Datavault AI’s partnership claims and platform activity, and $DVLT fell 19.44%, closing at $2.03. Additional revelations followed through August 19, 2026, including discounted stock financing, unreceived Scilex funding, a canceled investor event, an $88 million quarterly loss, unfinished platform development, and renewed liquidity concerns. By August 19, shares had dropped to $0.2962.
Based on these events, $DVLT investors filed a claim against Datavault AI, alleging the company:
It overstated the value of its partnerships and Datavault Platform activity.
It misrepresented its working capital, liquidity, and ability to fund operations without diluting shareholders.
It presented an overly positive picture of its commercialization and financial prospects.
Investors argue Datavault AI misled the market about its partnerships, platform activity, commercialization progress, and financial position, causing losses when the truth emerged.
