Between May 1, 2024 and May 7, 2025, Compass Diversified repeatedly reported strong financial results and certified its internal controls as effective. Executives signed off on quarterly and annual filings that showed solid growth, backed by confidence in Compass’ portfolio of operating companies.

But behind the scenes, Compass was facing serious accounting issues at its majority-owned subsidiary, Lugano Holdings. The company failed to disclose unrecorded financing arrangements and accounting irregularities involving sales, cost of sales, inventory, and accounts receivable tied to Lugano’s operations.

Throughout the year, Compass assured investors that its financial controls were sound and its disclosures were accurate. Then, on May 7, 2025, the company abruptly announced that its 2024 financial statements could no longer be relied on due to “irregularities” at Lugano. It also said it would delay its Q1 2025 report and begin restating prior results.

$CODI fell 8% in after-hours trading following the announcement and continued to decline as more details emerged.
