Between April 18, 2024 and April 16, 2026, Badger Meter told investors its record results reflected strong customer demand, favorable water industry trends, solid execution, and a strong bid pipeline. Executives emphasized robust AMI demand, steady order pacing, and a long runway for continued growth.

However, during this period, investors allege Badger Meter’s results were partly driven by pulling customer orders forward, which made demand appear stronger than it was. Badger Meter allegedly failed to disclose that pulled-forward orders were boosting current results, that those orders were masking weaker near-term demand and order trends, and that using future demand early left less revenue available for later periods.

Then, on July 22, 2025, the company reported disappointing second-quarter results, including missed earnings estimates, slower revenue growth, weaker margins, and expected sequential sales declines. $BMI fell 16.5%, closing at $204.80.

Additional revelations followed on January 28, 2026 and April 17, 2026, including missed revenue expectations, a sequential decline in utility water sales, lower total sales, and softer short-cycle municipal customer ordering.

By April 17, 2026, shares had dropped to $115.54, representing a total decline of 52.9% over the correction period.
